Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Onplana platform, website, and related services (collectively, the "Service") operated by Devsoft Solutions("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Accounts

1.1 Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

1.2 Account Security

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately at security@onplana.com if you become aware of any unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials.

1.3 Organizations

The Service supports multi-tenant organizations. Organization owners and administrators are responsible for managing members, roles, and permissions within their organization. Data within an organization is isolated from other organizations.

2. Use of the Service

2.1 Permitted Use

You may use the Service for lawful project management purposes in accordance with your subscription plan. You agree not to:

• Violate any applicable laws or regulations
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to other accounts or systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam, malware, or other harmful content
• Resell or redistribute the Service without written authorization
• Use automated tools to scrape, crawl, or extract data from the Service
• Exceed rate limits or abuse API access

2.2 Plan Limits

Your use of the Service is subject to the limits of your subscription plan, including member counts, project limits, storage quotas, and feature availability. We may enforce limits by restricting access to features or requiring an upgrade. We will provide reasonable notice before enforcing limits.

2.3 AI Features

AI-powered features (risk detection, plan generation, chat, etc.) are provided as recommendations and assistive tools. AI outputs may contain errors or inaccuracies. You are solely responsible for decisions made based on AI recommendations. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

3. Your Data

3.1 Ownership

You retain all rights to the data you upload, create, or store in the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to host, process, and display Your Data solely to provide and improve the Service.

3.2 Data Portability

You may export Your Data at any time through the Service's export features, including project data, task lists, and documents. We support standard export formats to avoid lock-in.

3.3 Data Processing

We process Your Data in accordance with our Privacy Policy. Your Data is not used to train AI models. For Enterprise plans, data residency controls allow you to restrict where Your Data is processed and stored.

3.4 Data Deletion

Deleted items are moved to Recycle Bin for 30 days, then permanently deleted. Upon account or organization termination, Your Data is permanently deleted within 90 days, subject to legal retention requirements.

4. Subscription and Payment

4.1 Plans and Pricing

The Service is offered under multiple subscription plans as described on our Pricing page. Prices are subject to change with 30 days' notice. Changes do not affect the current billing period.

4.2 Billing

Paid plans are billed monthly or annually in advance. Billing is based on the number of seats (active members) in your organization. Guest seats may be included free depending on your plan tier.

4.3 Free Plan

The Free plan is available indefinitely with the published feature and quota limits. We reserve the right to modify Free plan limits with 60 days' notice.

4.4 Refunds

Monthly subscriptions: No refunds for partial months. You may cancel at any time, effective at the end of the current billing period. Annual subscriptions: Pro-rated refund available within the first 30 days. After 30 days, cancellation takes effect at the end of the annual period.

5. Intellectual Property

5.1 Our Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of Devsoft Solutions. These Terms do not grant you any right to use our trademarks, logos, or brand assets without written permission.

5.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service without obligation to you.

6. Third-Party Services

The Service may integrate with third-party services (e.g., Stripe for payments, SSO providers, webhook endpoints). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for third-party service availability or practices.

7. Availability and Support

7.1 Uptime

We strive for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. Enterprise plans may include SLA commitments with defined uptime guarantees.

7.2 Support

Support is provided via email. Response times vary by plan tier. Enterprise plans include priority support with guaranteed response times.

8. Limitation of Liability

To the maximum extent permitted by law, Devsoft Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that AI-generated recommendations will be accurate.

10. Indemnification

You agree to indemnify and hold harmless Devsoft Solutions, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

You may terminate your account at any time from Settings. We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if required by law. Upon termination, your right to use the Service ceases immediately. Data deletion follows the timelines described in Section 3.4.

12. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. General

• Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Devsoft Solutions regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger or acquisition.
